1. Agreement to Terms

By accessing or using AutoRepairEstimate ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, then you do not have permission to access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

AutoRepairEstimate provides automotive business management software as a service (SaaS) platform for tracking vehicle inventory, expenses, repairs, and sales. The Service is provided "as is" and "as available" without any warranties of any kind.

3. User Accounts and Registration

3.1. You must provide accurate, complete, and current information during registration.

3.2. You are responsible for safeguarding your account password and for all activities that occur under your account.

3.3. You must immediately notify us of any unauthorized use of your account or any other security breach.

3.4. We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

4. Acceptable Use Policy

You agree not to:

• Use the Service for any illegal purposes or in violation of any laws
• Upload or transmit viruses, malware, or any other malicious code
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the Service or servers connected to the Service
• Violate any third party's rights, including intellectual property rights
• Use the Service to transmit spam or unsolicited communications
• Reverse engineer, decompile, or disassemble any portion of the Service
• Resell, redistribute, or sublicense the Service without our express written consent

5. Intellectual Property Rights

5.1. The Service and its original content, features, and functionality are and will remain the exclusive property of AutoRepairEstimate and its licensors.

5.2. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used without our prior written consent.

5.3. You retain ownership of any data you input into the Service ("User Content"), but grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and process User Content solely for the purpose of providing the Service.

6. Payment Terms

6.1. Subscription fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law.

6.2. We reserve the right to change pricing with 30 days' notice. Price changes will take effect at the next billing cycle.

6.3. Failure to pay fees may result in suspension or termination of your access to the Service.

6.4. You are responsible for all applicable taxes related to your use of the Service.

7. Data Protection and Security

7.1. We implement commercially reasonable security measures to protect your data.

7.2. You acknowledge that no method of transmission over the Internet is 100% secure.

7.3. You are responsible for maintaining the confidentiality of your account credentials.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9. Limitation of Liability

IN NO EVENT SHALL AUTOREPAIRESTIMATE, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

10. Indemnification

You agree to defend, indemnify, and hold harmless AutoRepairEstimate and its licensees, licensors, employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third party right; or (iv) any User Content you post or share through the Service.

11. Termination

11.1. Either party may terminate these Terms at any time with written notice to the other party.

11.2. Upon termination, your right to use the Service will immediately cease.

11.3. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11.4. We will provide you with the ability to export your data for 30 days following termination, after which we may delete your data.

12. Governing Law and Dispute Resolution

12.1. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

12.2. Any dispute arising from or relating to these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

12.3. You waive any right to a jury trial or to participate in a class action lawsuit.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms constitute the entire agreement between you and AutoRepairEstimate regarding the use of the Service, superseding any prior agreements.
